Why Does Business Structuring Matter So Much?

Because the cost of getting it wrong doesn’t show up on day one. It
shows up years later.

A structure that suited you as a sole trader can quietly cost you
thousands a year in tax, leave personal assets exposed, or rule you
out of concessions worth far more when you sell.

Changing it later is possible, but it can trigger tax and legal costs
that dwarf setting it up properly in the first place. The earlier you
look at it, the more options you have.

Four Things Your Structure Decides​

  • What you pay each year – Different structures are taxed differently. Not about avoiding tax; about not paying more than the law asks.
  • What you keep when you sell – The small business CGT concessions can be worth hundreds of thousands at exit, and eligibility depends on decisions made years earlier. This is the one people find out about too late.
  • What’s exposed if it goes wrong – A company limits liability, but not as much as you think. If you’ve personally guaranteed the bank, the lease and the equipment finance, the structure won’t help you there. What it can do is keep the valuable things out of the entity carrying the risk, and that only works if it’s done before there’s a problem.
  • How hard it is to get out – CGT, transfer duty and GST all land at exit. And if you hold a QBCC licence, it doesn’t automatically come with you.

The honest part: every layer of protection costs money to run. A structure that’s right for a $5m group is overkill for a sole trader, and we’ll tell you when you don’t need one.

Understanding Your Business Structure Options

Your business structure shapes your tax position, ongoing costs, and how much control and flexibility you keep as the business grows. Here’s a quick overview of the four common structures used by Australian business owners:

  • Sole Trader – The most straightforward structure. You run the business under your own name (or a registered business name) and you are personally responsible for all debts and obligations.
  • Partnership – Two or more people or entities running a business together, sharing profits and losses. Each partner can be held liable for the partnership’s debts, including those incurred by other partners.
  • Company – A separate legal entity from its owners. Owners hold shares in the company, and liability is generally limited to what they’ve invested, subject to certain exceptions.
  • Trust – An arrangement where a trustee holds and manages assets on behalf of beneficiaries, according to the terms set out in the trust deed.

    There’s no universal “best” structure, as each comes with its own tax treatment, compliance obligations, costs and level of protection.

    The right choice depends on your goals, your industry, your risk exposure and how you plan to grow (or exit).

Yes, how you draw income (salary, dividends, distributions or drawings) depends heavily on your structure, and each option has different tax and compliance implications. We’ll walk you through what applies to your situation.
